Dr Alka Mundra Leads from the Front: Discloses Conflict, Resigns as IOCL Independent Director – Indian PSU

Good persons do not pronounce, rather they denounce and such persons make a difference

Dr Alka Mundra has chosen to step down as an Independent Director of Indian Oil Corporation Limited (IOCL) after herself disclosing a potential conflict arising from her son’s IndianOil dealership.

Mundra joined the IOCL Board on 15 August 2026 and resigned with effect from 18 September 2026, after just 34 days.

In her resignation letter, Dr Mundra disclosed that her son, Madhav Mundra, has been operating the Swarn Ganga KSK, an IndianOil retail outlet in Udaipur, Rajasthan, since 2020.

She clarified that her son operates the dealership independently and that the relationship would not affect her objectivity. However, after recognising that the relationship could fall within the independence criteria under the SEBI LODR Regulations, she chose to resign rather than allow any question to arise over her independence.

Dr Mundra’s decision is significant for a simple reason: she herself brought the relationship to light. She did not conceal the fact, did not wait for someone else to raise it and did not cling to the position. She disclosed it and stepped aside.

In an era when transparency is often discussed as a corporate-governance principle, Dr Mundra’s conduct gives the principle a practical meaning — honesty matters, and so does the willingness to act on it.
