GAIL (India) Limited is moving ahead with the transfer of six city gas distribution (CGD) geographical areas to its wholly owned subsidiary, GAIL Gas Limited, as part of a strategic restructuring aimed at consolidating its city gas business and preparing the subsidiary for a potential stock market listing.

The six geographical areas are Varanasi, Patna, Ranchi, East Singhbhum (Jamshedpur), Cuttack and Khordha (Bhubaneswar). The Petroleum and Natural Gas Regulatory Board (PNGRB) has approved the transfer, removing a key regulatory hurdle for the restructuring.

GAIL Gas IPO Plans Gather Momentum

The proposed transfer is expected to strengthen GAIL Gas’s business profile by consolidating additional city gas distribution operations under the subsidiary.

GAIL Gas is reportedly planning an Initial Public Offering (IPO) to raise approximately ₹3,000 crore, with a potential listing by the end of the current financial year. Following the IPO, GAIL (India) is expected to dilute a minority stake in its subsidiary while retaining a shareholding interest.

The restructuring would enable investors to gain exposure to GAIL Gas’s city gas distribution business through a separately listed entity, subject to the final IPO structure and applicable approvals.

Six Cities to Strengthen GAIL Gas’s Network

The transfer covers six city gas distribution areas currently operated by GAIL (India). These markets will be brought under GAIL Gas as part of the parent company’s strategic consolidation plan.

GAIL Gas already operates city gas distribution projects across multiple states and is expanding its network to meet growing demand for cleaner fuels. Its operations include supplying piped natural gas (PNG) to households and commercial and industrial consumers, as well as compressed natural gas (CNG) for vehicles.

According to GAIL’s FY 2025–26 annual report, GAIL Gas operates CGD projects in 16 geographical areas and has six joint venture companies implementing projects in nine additional geographical areas.

Strategic Restructuring of City Gas Business

The transfer is part of GAIL’s broader strategy to consolidate its city gas distribution operations within its subsidiary. A stronger and more consolidated business could help GAIL Gas attract capital to fund network expansion and other growth opportunities.

For GAIL (India), the proposed IPO would provide an opportunity to unlock value from its city gas distribution business while retaining a stake in the subsidiary.

The proposed listing and fundraising will depend on the company’s plans and the necessary regulatory and corporate approvals.
